These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and SpeedyTip Limited ("SpeedyTip", "we", "us", or "our") governing your access to and use of the SpeedyTip website, mobile applications, APIs, and all related services (collectively, the "Service").
We reserve the right to modify, amend, or update these Terms at any time and for any reason, in our sole discretion. Any changes will be effective immediately upon posting to the Service. Your continued use of the Service after any modifications indicates your acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must discontinue your use of the Service.
Certain features of the Service may be subject to additional terms and conditions, which will be presented to you at the time you access such features. All such additional terms are incorporated by reference into these Terms.
To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.
You are responsible for maintaining the confidentiality of your account login credentials and for restricting access to your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this section.
We reserve the right, in our sole discretion, to suspend, disable, or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice, and without any liability to you. Reasons for suspension or termination may include, but are not limited to: (a) violations of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) requests by law enforcement or government agencies; (d) discontinuation or material modification of the Service; (e) unexpected technical or security issues; (f) extended periods of inactivity; or (g) non-payment of any fees owed.
SpeedyTip provides a digital platform that enables customers to send electronic tips to staff members at participating businesses. We act solely as a technology platform that facilitates transactions between users. We are not a party to any transaction between customers and staff members, and we are not responsible for the conduct, actions, or omissions of any user.
SpeedyTip is not an employer or employment agency. We do not employ, supervise, direct, or control staff members who receive tips through the Service. The relationship between businesses, staff members, and customers is solely between those parties, and SpeedyTip has no responsibility or liability arising from such relationships.
We do not guarantee that the Service will be available at all times or without interruption. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.
We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
All payments and transactions through the Service are processed by our third-party payment processor, Stripe. By using the Service, you agree to be bound by Stripe's terms of service and privacy policy. You acknowledge and agree that SpeedyTip is not responsible for any errors, delays, or failures in payment processing that are attributable to Stripe or other third parties.
SpeedyTip charges a platform fee on transactions processed through the Service. The current platform fee is disclosed on the Service and may be modified at any time in our sole discretion. Additional fees may apply for certain features or services. You agree to pay all applicable fees in connection with your use of the Service.
By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and authorize us (or our payment processor) to charge your payment method for all fees payable hereunder. If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your access to the Service may be suspended or terminated.
You are solely responsible for determining and paying all taxes, duties, and other governmental assessments from your use of the Service, including but not limited to income tax, VAT, and national insurance contributions. SpeedyTip does not provide tax advice and makes no representations regarding the tax consequences of using the Service.
All transactions are final and non-refundable unless otherwise determined by SpeedyTip in its sole discretion. In the event of a disputed transaction, we will investigate and make a determination based on available evidence. Our decision on any refund request shall be final and binding.
In the event of a chargeback or payment dispute initiated by a payer, you agree to cooperate fully with our investigation. We reserve the right to recover any amounts owed to us as a result of chargebacks, including by debiting your account or withholding future payouts.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable law, regulation, or these Terms.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Service, including but not limited to laws relating to anti-money laundering, tax, data protection, and consumer protection. You acknowledge that you are solely responsible for ensuring your compliance with all such laws.
The Service, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement), is owned by SpeedyTip, its licensors, or other providers of such material and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use or internal business purposes. This license does not include any right to: (a) resell or make commercial use of the Service; (b) copy, reproduce, distribute, or publicly display any content; (c) modify or create derivative works; (d) download or copy account information for the benefit of another party; or (e) use any data mining, robots, or similar data gathering and extraction tools.
"SpeedyTip" and all related names, logos, product and service names, designs, and slogans are trademarks of SpeedyTip or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.
If you provide any feedback, suggestions, ideas, or other information regarding the Service ("Feedback"), you hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sub-licensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any manner and for any purpose. You waive any moral rights you may have in such Feedback.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEEDYTIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
SPEEDYTIP DOES NOT GUARANTEE OR WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE COMPATIBLE WITH YOUR DEVICE OR SOFTWARE; (C) ANY INFORMATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
THE SERVICE MAY INTEGRATE WITH OR RELY ON THIRD-PARTY SERVICES, INCLUDING PAYMENT PROCESSORS AND IDENTITY VERIFICATION PROVIDERS. SPEEDYTIP MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING SUCH THIRD-PARTY SERVICES AND DISCLAIMS ALL LIABILITY ARISING FROM YOUR USE OF SUCH SERVICES.
SPEEDYTIP MAKES NO WARRANTIES OR REPRESENTATIONS THAT THE SERVICE COMPLIES WITH ANY SPECIFIC LAWS OR REGULATIONS IN YOUR JURISDICTION. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICE COMPLIES WITH ALL APPLICABLE LAWS AND REGULATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPEEDYTIP, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SPEEDYTIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANY PROVISION TO THE CONTRARY, OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO SPEEDYTIP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (£100).
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND SPEEDYTIP AND THAT SPEEDYTIP WOULD NOT PROVIDE THE SERVICE TO YOU WITHOUT SUCH LIMITATIONS. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless SpeedyTip, its affiliates, and their respective directors, officers, employees, agents, contractors, interns, suppliers, service providers, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
SpeedyTip reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Subject to Section 10.3, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to the exclusive jurisdiction of the courts of England and Wales. You waive any objection to venue in such courts and agree not to raise any defense based on lack of personal jurisdiction or forum non conveniens.
Before initiating any formal dispute resolution proceedings, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve any dispute through informal negotiation within thirty (30) days from the date we receive notice of the dispute. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.
These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire and exclusive agreement between you and SpeedyTip regarding the Service and supersede and replace any prior understandings or agreements, whether oral or written, relating to the Service.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
No waiver by SpeedyTip of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms and any rights or obligations hereunder without restriction. Any attempted assignment in violation of this provision shall be null and void.
SpeedyTip shall not be liable for any failure or delay in performing any obligation under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
The section and subsection headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms. Nothing in these Terms shall be construed to grant any rights to any third party.
